Welcome to Analytix Solutions. These Terms of Service (the "Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Analytix Solutions ("Analytix," "we," "our," or "us").

These Terms govern your access to and use of our website, https://theanalytixsolution.com, and any associated platforms, applications, tools, reports, dashboards, software, or services we provide (collectively, the "Services").

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you must immediately discontinue use of the Services.

1. Eligibility and Accounts

The Services are intended solely for individuals who are at least eighteen (18) years of age or the age of majority in their jurisdiction, whichever is greater. By using the Services, you represent and warrant that you meet these requirements and have the legal capacity to enter into these Terms.

Certain features of the Services may require you to create an account. In registering an account, you agree to provide true, accurate, current, and complete information. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account.

If you believe that your account has been compromised or accessed without authorization, you must notify Analytix immediately. Analytix shall not be liable for any loss or damage arising from your failure to secure your account credentials.

2. Changes to Terms

Analytix reserves the right, at its sole discretion, to modify or revise these Terms at any time.

Any changes will become effective immediately upon posting of the revised Terms on the Services, and the updated effective date will be noted at the top of this page. Your continued use of the Services after such posting constitutes your acceptance of the revised Terms. It is your responsibility to review the Terms periodically for updates.

3. Use of Services

You are granted a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services for lawful purposes only and strictly in accordance with these Terms.

You agree not to use the Services in any manner that could damage, disable, overburden, or impair the functionality, security, or performance of the Services, or interfere with any other party's use and enjoyment thereof.

Analytix reserves all rights not expressly granted herein.

4. Acceptable Use

You agree to use the Services only in compliance with all applicable laws, rules, and regulations.

Without limitation, you shall not:

• (a) use the Services to infringe or violate the rights of any third party, including intellectual property rights, privacy rights, confidentiality rights, or contractual rights;
• (b) introduce or transmit viruses, malware, malicious code, or other harmful materials;
• (c) attempt to gain unauthorized access to any portion of the Services or any related systems, servers, or networks;
• (d) engage in automated data mining, scraping, harvesting, crawling, or indexing without prior written authorization from Analytix;
• (e) reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Services, except to the extent expressly permitted by applicable law; or
• (f) misrepresent your identity or affiliation with any person or entity.

Analytix retains sole discretion to suspend or terminate your access to the Services in the event of any breach of this Acceptable Use provision or any other violation of these Terms.

5. User Content

Any information, data, text, files, materials, or other content that you submit, upload, or otherwise make available through the Services ("User Content") remains your property.

However, by providing User Content, you grant Analytix a worldwide, non-exclusive, royalty-free, fully sublicensable license to host, store, reproduce, process, display, transmit, and otherwise use such User Content solely for the purpose of operating, maintaining, supporting, securing, and improving the Services.

You represent and warrant that you own or otherwise control all rights necessary to grant this license and that your User Content does not infringe upon or violate any third party's rights or any applicable law.

You are solely responsible for the accuracy, quality, legality, and reliability of your User Content.

6. Intellectual Property

All right, title, and interest in and to the Services, including but not limited to all software, source code, designs, workflows, text, graphics, images, reports, dashboards, logos, trademarks, service marks, and other content, are and shall remain the exclusive property of Analytix or its licensors.

Except as expressly permitted in these Terms, you may not copy, modify, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, or otherwise use any portion of the Services for any commercial or unauthorized purpose without Analytix's prior written consent.

Any unauthorized use of the Services constitutes a material breach of these Terms and may violate intellectual property and other applicable laws.

7. Third-Party Services

The Services may contain links to, integrations with, or enable access to third-party websites, applications, software, tools, or services that are not owned or controlled by Analytix.

Analytix does not endorse, control, or assume any responsibility for the content, policies, practices, availability, or performance of such third-party services. Your access to and use of any third-party services is entirely at your own risk and may be subject to separate terms and conditions.

You agree that Analytix shall not be liable for any damages or losses arising from your use of or reliance on any third-party services.

8. No Professional Advice

The Services, including any materials, reports, dashboards, analytics, insights, recommendations, or outputs generated by Analytix, are provided solely for informational and operational purposes.

They do not constitute, and shall not be relied upon as, legal, tax, accounting, investment, financial, compliance, or other professional advice.

You acknowledge and agree that Analytix is not acting as your fiduciary, advisor, broker, agent, or licensed professional in connection with your use of the Services, and that you must consult your own qualified professionals before making any legal, financial, tax, investment, or business decisions.

9. Feedback

If you submit to Analytix any ideas, suggestions, proposals, recommendations, or feedback relating to the Services ("Feedback"), you acknowledge and agree that such Feedback is not confidential and that Analytix shall be entitled to use and exploit such Feedback without restriction and without obligation to compensate you.

10. Service Availability and Changes

Analytix reserves the right to modify, suspend, restrict, or discontinue, temporarily or permanently, the Services or any part thereof, with or without notice, at any time and for any reason.

You agree that Analytix shall not be liable to you or to any third party for any modification, suspension, restriction, or discontinuance of the Services.

11. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANALYTIX DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, AND RELIABILITY.

ANALYTIX DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY OUTPUTS OR RESULTS GENERATED THROUGH THE SERVICES WILL BE COMPLETE, ACCURATE, OR SUITABLE FOR YOUR NEEDS.

YOU ASSUME ALL RESPONSIBILITY FOR YOUR USE OF THE SERVICES AND ANY RELIANCE THEREON.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ANALYTIX, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF ANALYTIX FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) ONE HUNDRED UNITED STATES DOLLARS (USD $100), OR (B) THE AMOUNT YOU PAID TO ANALYTIX FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Analytix, its affiliates, and their respective officers, directors, employees, contractors, agents, licensors, and representatives, from and against any and all claims, demands, damages, losses, liabilities, judgments, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

• (a) your use of the Services;
• (b) your User Content;
• (c) your violation of these Terms; or
• (d) your violation of any law or the rights of a third party.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Massachusetts, without regard to its conflict of laws principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in [PENDING: county and state], and you hereby consent to the jurisdiction and venue of such courts.

You waive any objection to such jurisdiction and venue, including on the basis of forum non conveniens.

Nothing in this section shall prevent Analytix from seeking injunctive, equitable, or other appropriate relief in any court of competent jurisdiction.

15. Termination

Analytix may suspend or terminate your access to the Services at any time, with or without cause or notice, and without liability.

Upon termination, all rights granted to you under these Terms shall immediately cease, and you must promptly cease all use of the Services.

The provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, disclaimers, limitations of liability, indemnification, governing law, and dispute resolution.

16. Privacy

Your use of the Services is subject to Analytix's Privacy Policy, which is incorporated herein by reference.

By using the Services, you consent to the collection, use, storage, and disclosure of your personal information in accordance with the Privacy Policy.

17. Miscellaneous

These Terms, together with the Privacy Policy and any other policies or agreements expressly incorporated by reference, constitute the entire agreement between you and Analytix concerning the Services and supersede any prior or contemporaneous agreements, communications, and understandings.

If any provision of these Terms is held invalid, illegal, or unenforceable, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

No waiver by Analytix of any right or provision under these Terms shall be deemed a continuing waiver of such right or provision or a waiver of any other right or provision.

You may not assign or transfer these Terms without prior written consent from Analytix. Analytix may assign or transfer these Terms without restriction.

These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
